감자에 따른 주권제출 및 채권자 이의신청 공고

 

㈜메디사랑은 상법 제439조의 규정에 의거하여 2026년 2월 26일 개최한 정기주주총회에서 자본금 감소를 다음과 같이 결의하였기에 공고합니다. 주주 및 질권자는 소유주식을 본사에 제출해 주시고, 본 자본감소에 이의가 있는 채권자께서는 아래 기간내에 서면으로 이의를 제출하여 주시기 바랍니다.

 

1. 자본금 감소에 관한 사항

1) 감자이유 : 재무구조 개선

2) 자본감소 방법 : 보통주식 10주를 1주의 비율로 병합

3) 감자효력 발생일 : 채권자 이의 제출기간 만료일(구주권 제출기간과 동일함)

 

2. 구주권 제출에 관한 사항

※ 당사는 1인 주주인 회사로 주권을 실물 발행하지 아니하였으나, 본사의 주권을 소지하고 있는 주주는 본사에 주권을 제출해 주시기 바랍니다.

 

3. 채권자의 이의 신청에 관한 사항

1) 이의 제출을 할 수 있는 채권자 : 본 공고일 현재 당사에 채권을 보유한 자

2) 이의제출기간 : 2026년 2월 27일 ~ 2026년 3월 27일

3) 이의제출장소 : 경기도 성남시 중원구 둔촌대로457번길 27, 1112호(상대원동)

 

4. 기타사항

1) 주식병합으로 인하여 발생하는 1주 미만의 단수주는 액면가 기준 현금으로 지급합니다.
